2. Services Description

Bharat Digital Marketing Company provides digital marketing services including but not limited to website design and development, search engine optimization (SEO), local SEO, Google Ads management, social media marketing, AI search optimization, and related digital consulting services. The specific scope of services will be outlined in a separate Service Agreement executed between us and the client.

3. Client Responsibilities

As a client engaging our services, you agree to:

• Provide accurate and complete information necessary for the delivery of services
• Grant us necessary access to your website, analytics accounts, social media profiles, and other digital assets
• Respond to our communications and provide feedback within reasonable timeframes
• Make timely payments as per the agreed payment schedule
• Comply with all applicable laws and regulations regarding your business and marketing activities

4. Intellectual Property Rights

Upon full payment for services rendered:

• Website designs, content, and graphics created specifically for your project become your intellectual property
• We retain the right to display completed work in our portfolio unless otherwise agreed in writing
• Third-party assets (themes, plugins, stock images) remain the property of their respective owners and are used under license
• Our proprietary methodologies, strategies, and internal tools remain our intellectual property

5. Payment Terms

• Payment terms are outlined in the Service Agreement or Invoice provided to the client
• Payments are due as per the schedule specified in the agreement
• Late payments may result in service suspension and interest charges at the rate of 2% per month on the outstanding amount
• All fees are exclusive of applicable taxes (GST, TDS, etc.)

6. Project Timeline & Delays

We make every effort to complete projects within the agreed timeline. However, delays may occur due to factors beyond our control, including client feedback delays, third-party dependencies, or technical unforeseen circumstances. We will communicate any anticipated delays promptly and work diligently to minimize their impact.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes business strategies, customer data, financial information, and marketing plans. This obligation survives the termination of our agreement.

8. Limitation of Liability

Bharat Digital Marketing Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services. Our total liability for any claim shall not exceed the total fees paid by the client for the specific service giving rise to the claim. We do not guarantee specific search engine rankings, traffic levels, or revenue increases, as these outcomes depend on numerous factors beyond our control.

9. Termination

Either party may terminate the Service Agreement by providing written notice as specified in the agreement. Upon termination, the client shall pay for all services rendered up to the date of termination. Any prepaid fees for services not yet delivered will be refunded on a pro-rata basis.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh.

11. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on this page. We encourage you to review these terms periodically. Continued use of our services after any modifications indicates your acceptance of the updated terms.
